Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “you”) and THNX US Inc. (“Company,” “we,” “our,” or “us”) governing your access to and use of our websites (thanks.us, thnxcleaning.com) and all related software-development, outsourcing, and consulting services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Scope of Services

THNX US Inc. provides professional software-development and IT-outsourcing services, including but not limited to:

• Front-end, back-end and DevOps engineering
• Mobile development (iOS, Android via React Native)
• Project management, UI/UX implementation, and cloud solutions

Services are delivered under separate project proposals, statements of work (SOW), or written agreements between the Company and Client.

3. Eligibility

You must be at least 18 years old and legally capable of entering into contracts. By using our Services, you represent that you meet these requirements.

4. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

• Provide accurate and current information;
• Maintain confidentiality of credentials; and
• Immediately notify us of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

5. Fees and Payment

All fees and payment terms will be defined in the relevant proposal or invoice. Unless otherwise agreed in writing:

• Payments are due within 15 days of invoice date;
• Late payments may incur interest at 1.5 % per month (or maximum permitted by law);
• All fees are non-refundable except as required by law.

THNX US Inc. reserves the right to suspend services for overdue accounts.

6. Intellectual Property

1. Ownership

   Unless otherwise specified in a separate agreement, THNX US Inc. retains ownership of all pre-existing materials, code libraries, and tools used in providing the Services.

   Upon full payment, the Client receives a non-exclusive, royalty-free license to use the final deliverables for their intended business purposes.

2. Third-Party Materials

   Use of open-source or third-party software components is subject to their respective licenses.

7. Confidentiality

Each party agrees to keep confidential all non-public information obtained from the other party and to use such information only for purposes of performing under these Terms or the applicable agreement.

8. Data Protection and Privacy

Your data is handled in accordance with our Privacy Policy.

By using our Services, you consent to the collection and use of data as outlined therein.

9. Prohibited Activities

You agree not to:

• Use our Services for illegal or harmful purposes;
• Attempt to gain unauthorized access to systems or networks;
• Copy, modify, reverse-engineer, or resell our platforms without permission;
• Infringe any intellectual property rights.

Violation of these Terms may result in immediate termination of service.

10. Warranties and Disclaimers

Our Services are provided “as is” and “as available.”

We make no warranties regarding uninterrupted operation, error-free code, or fitness for a particular purpose.

To the maximum extent permitted by law, THNX US Inc. disclaims all implied warranties.

11. Limitation of Liability

To the fullest extent allowed by law, THNX US Inc., its officers, employees, and contractors shall not be liable for any:

• Indirect, incidental, or consequential damages;
• Loss of profits, data, or business opportunities;
• Damages exceeding the total amount paid by the Client for Services during the preceding three (3) months.

12. Indemnification

You agree to indemnify and hold harmless THNX US Inc. from any claims, losses, liabilities, or expenses arising from your use of the Services or violation of these Terms.

13. Termination

Either party may terminate this agreement with written notice if the other party materially breaches its obligations and fails to cure within ten (10) days.

Upon termination, all fees accrued remain payable and all rights granted to you shall cease.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts of New York County, New York.

15. Changes to These Terms

We may update these Terms from time to time.

The “Last Updated” date at the top indicates the current version. Your continued use of our Services after changes means you accept the revised Terms.
